The Phases Provider Platform is a HIPAA-compliant, white-labeled practice management and marketing infrastructure built on GoHighLevel (GHL) and configured specifically for menopause and functional medicine providers. The Platform includes:
The Platform is configured for your use. Ongoing content creation, keyword strategy, advanced automation sequences, and active ranking campaigns are not included in the base subscription and are available as separately quoted services.
Your first month is $497.00, which covers both platform setup and your first month of access. Setup includes platform configuration, SEO foundation, website connectivity, and the deliverables described in Section 1. The first month fee is due at the time of purchase.
After your first month, the Platform is billed at $197.00 per month, charged on a recurring monthly basis to your payment method on file. Billing begins on the same calendar date as your initial purchase.
We reserve the right to change subscription pricing with thirty (30) days' written notice to your email address on file. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.
All fees are non-refundable. Because your first month payment covers setup labor performed specifically for your practice, no refunds will be issued once setup has commenced, regardless of whether setup is complete. No refunds will be issued for partial months or unused subscription periods.
If you are unsure whether the Platform is the right fit, we encourage you to reach out before purchasing. If your practice requires a more complex or custom build, please contact us prior to payment so we can scope your project appropriately.
You may cancel your subscription at any time by providing written notice to us at the contact information below. Cancellation takes effect at the end of the current billing cycle. You will retain access to the Platform through the end of your paid period. No partial month refunds will be issued upon cancellation.
Upon cancellation, your access to the Platform will be terminated and your data may be deleted in accordance with our data retention practices. We recommend exporting any data you wish to retain prior to cancellation.
Platform setup will be completed within a reasonable timeframe following receipt of payment and all required information from you, including but not limited to brand assets, website credentials, and practice details. Delays caused by your failure to provide required information will extend the delivery timeline accordingly.
For practices with more complex builds, a custom scope and fee may be required before setup begins. We will communicate this to you before accepting payment if identified in advance. If complexity is discovered after setup commences, we will contact you to discuss options.

The Platform is built on HIPAA-compliant infrastructure. How you use it is your responsibility.
You are solely responsible for ensuring your own use of the Platform complies with HIPAA and all other applicable federal and state healthcare privacy laws. We are not a covered entity on your behalf. This Agreement does not constitute a Business Associate Agreement (BAA). If your use case requires a BAA, please contact us before purchasing.
We handle data processed through the Platform in accordance with applicable law. You are responsible for the content you load, the workflows you activate, and the patient data you manage within the Platform.
All platform templates, configurations, workflows, and underlying infrastructure remain the intellectual property of Phases Clinic LLC. You retain ownership of your own content, brand assets, and patient data. Nothing in this Agreement transfers ownership of Platform infrastructure to you.
Additional services including but not limited to phone system setup, course creation, lead magnet automation, and advanced SEO are available separately and are not included in the base subscription. These services are subject to separate scoping, pricing, and agreements. We reserve the right to decline any add-on service request at our discretion.
To the maximum extent permitted by applicable law, Phases Clinic LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of patients, or loss of data, arising out of or related to your use of the Platform, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by you to us in the three (3) months preceding the claim.
The Platform is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that the Platform will meet your specific business requirements or that any particular outcome, including improved search rankings or patient conversions, will result from use of the Platform.
We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, if we determine in our sole discretion that you have violated this Agreement, engaged in unlawful conduct, or that continued provision of the Platform is no longer feasible. In the event of termination by us without cause, we will refund a prorated portion of your current month's subscription fee.
This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any dispute arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in Washington State, and you consent to personal jurisdiction in such courts.
We reserve the right to update these Terms of Service at any time. We will notify you of material changes by email or by posting the updated terms on our website. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised terms.
This Agreement constitutes the entire agreement between you and Phases Clinic LLC with respect to the Platform and supersedes all prior or contemporaneous understandings, communications, and agreements, whether written or oral, relating to the subject matter herein.
